Wholesale Fuel Distributors to Serve as Wholesaler

HOUSTON, April 7, 2008 /PRNewswire/ — Motiva Enterprises LLC (Motiva), the company that markets Shell-branded gasoline in the eastern and southern United States, today announced it has sold its interest in 22 Fairfield, Connecticut-area Shell-branded gasoline stations to Connecticut Dealer Stations, LLC and 372 Wilton Associates, LLC. In addition, Motiva entered into a wholesale marketer agreement with Wholesale Fuel Distributors CT, LLC, which also acquired all of the dealer leases and supply agreements

Wholesale Fuel Distributors CT, LLC is an affiliate of Wholesale Fuel Distributors, Inc., which operates convenience stores and service stations throughout Connecticut and New York. The company will serve as a wholesaler for Shell-branded motor fuels at the 22 locations included in this purchase. All 22 stations will continue to operate under the Shell brand.

In addition to the Shell-branded service stations included in this purchase, Wholesale Fuel Distributors, Inc. and affiliates operate more than 25 Mobil, Shell and Sunoco branded gasoline stations in Connecticut and New York. The company has operated convenience stores and gasoline stations for nearly 15 years.

This divestment is in line with Motiva’s publicly stated intent to transition company-owned retail assets to wholesale-supplied locations, in an effort to grow the Shell brand in the U.S. and improve the sustainability of the network in the long-term. According to a confidentiality agreement between the parties, the purchase price cannot be disclosed.
