Shell Launches Shareholder Talks to Win Backing for HQ Move, Sources Say

By Reuters:

LONDON (Reuters) – Royal Dutch Shell has launched talks with investors to secure support for its plan to relocate its headquarters from the Netherlands to Britain, sources said, as a leading advisory recommended backing the move at a December vote.

Shell said this month it would scrap its dual Anglo-Dutch share structure and move its head office to London from The Hague due to the Dutch tax system and after a court ruling over its strategy to reduce greenhouse gas emissions.

The company also plans to move its tax residence to Britain and drop “Royal Dutch” from its name – part of its identity since 1907 – to become Shell Plc. read more

Brexit success: Shell headquarter move shows Remoaner predictions are ‘other way around’

OIL giant Shell is relocating its headquarters from the Netherlands to the UK, a move some are labelling as proof that Brexit is not synonymous with losing foreign business.

By TERESA GOTTEIN MARTINEZ

Shell has this week announced it was ready to sacrifice the designation “Royal” — from Royal Dutch Shell — to shift its tax residency from the EU to the UK. It already chose the country as its corporate base and primary stock market listing in 2005 but now, “despite Brexit“, the British-Dutch multinational will call London its only home. read more

‘Political bomb!’ Shell ‘doing own Brexit’ with huge EU snub in favour of UK move

THE European Union has been destroyed after being told oil giant Shell is “doing its own Brexit” by relocating its HQ from the Netherlands to the UK, with one political expert branding the news a “political bomb”.

By PAUL WITHERS

In a huge win for Brexit Britain, Royal Dutch Shell is scrapping its dual share structure and moving its head office to Britain from the Netherlands. The company is dropping “Royal Dutch” from its name – part of its identity since 1907 – to become Shell Plc. The firm has been at the centre of a bitter row with Dutch authorities over the country’s 15 percent dividend withholding tax on some of its shares, which makes them less attractive for investors. read more

Shell Jumps Out Of Fire And Lands In The Frying Pan

Seeking Alpha

Shell Jumps Out Of Fire And Lands In The Frying Pan

Zoltan Ban: Nov. 19, 2021
  • Shell’s move to exit the Dutch tax and legal jurisdiction is officially presented as an issue of dividend taxation that Shell and others hoped for years to see it repealed.
  • Though it is not much discussed by Shell or the media, the harsh environmental ruling by a Dutch court that forces Shell to cut emissions may have played a role.
  • Even though Shell is not currently faced with similar legal pressures in the UK, it may nevertheless feel other pressures to cut emissions by a similar margin.
  • Shell’s upstream segment is the most likely part of the business that will be sacrificed to environmental pressures.
  • Shell will most likely try to adapt its LNG and petrochemicals sector to lower emissions, that will make it less profitable. Higher natural gas prices will add to profitability concerns.

Investment thesis: Shell (RDS.A), (RDS.B) is leaving the Dutch legal jurisdiction, officially due to some dividend tax issues and it will make the UK its sole home base. Unofficially, it may be in large part a way to escape a court-imposed emissions reduction demand on its business activities. While the move to escape a legally binding cut of 45% compared with 2020 levels by 2030 is potentially avoided through this move, the internal, as well as external pressures for it to cut emissions, hydrocarbons production, and so on, will not cease. read more

Shell Broadband is to be avoided at all costs

Months after we exited their ‘service’ after broadband speeds far worse than anything we have experienced in the previous decade and more, and paid a hefty early leaving charge, come the ‘collections’ department months later who have been leaving emails and calling because we owe them £35 for their lousy router. Do not, repeat do not, go anywhere near Shell Broadband. Shell wins backing for its planned UK switch

Shell wins backing for its planned UK switch

Emily Gosden, Energy Editor: The Times

Plans by Royal Dutch Shell to unify its dual-share structure and move its headquarters and tax base from the Netherlands to Britain have won the backing of an influential shareholder advisory group.

Glass Lewis recommended that investors back the proposed changes to Shell’s articles of association in a vote on December 10 that also would lead to the oil company losing “Royal Dutch” from its name.

The plans have the backing, too, of CalSTRS, the California State Teachers’ Retirement System, America’s second largest public pension fund with more than $320 billion under management. It took a leading role in forcing board changes at ExxonMobil, the American oil major, this year. read more

Dutch government rushes to keep Shell in Netherlands

FINANCIAL TIMES

Dutch government rushes to keep Shell in Netherlands

The Dutch government has launched an eleventh-hour attempt to keep Shell in the Netherlands by seeking to abolish a controversial dividend tax cited by the energy group as a reason to unify its share structure and move its headquarters to the UK. Officials from the Dutch government told the Financial Times that the caretaker government of Mark Rutte was seeking to find a last-minute parliamentary majority to scrap a 15 per cent withholding tax that has long been a source of complaint for Shell and fellow Anglo-Dutch multinational Unilever. The political machinations come hours after Shell announced it would end its dual-share structure… read more

Royal Dutch Shell will dump its dual-share structure, change its name, and move its tax residence from the Netherlands to the UK.

It will now offer a single line of shares, which it considers simpler for investors to understand and value.

Alongside moving its tax residence, Shell will establish its CEO, CFO and board meetings in the country. read more

The worst company ever

I got broadband with them and have had nothing but trouble from the start they scammed me their customer service is the worst I’ve ever had to handle. Don’t waste your time go elsewhere avoid at all costs

Disgraceful and unapologetic Customer Service for errors

The Broadband provision was fine and during my contract term I only needed to contact Customer Service once, which was when I found it not the easiest company to contact and slow to respond. BUT my big problems started when I invoked my right to switch provider at the end of my minimum contract term. read more

Don’t set up account with them they will scam you !!!

Terrible company, avoid at all cost!!!!! They couldn’t set up my account for 10 months which means I couldn’t pay any bills for all this period, on top of that they set up a wrong tariff and charged me more for energy. Randomly after 10 months, they send me a bill for £539 and demand to pay it immediately and contact them immediately to solve the case because they charge me too much, and they pass on my details to the debt collector Zinc. Now they are harassing me with calls and letters, and Shell is not replying to my emails when I ask them when I will receive the correct bill! They just clearly don’t care they only care about money and will use all tactics to scare you to pay even when they know they made loads of mistakes along the way. Funny they couldn’t set up my account for 10 months even longer when I look at the time when I opened an account online, but they passed my detail to the debt collector company in 2 weeks !!!!!! Total scammers. read more

It comes at a time when countries are scrambling to reach consensus in the final days of the COP26 climate summit. Negotiators from 197 countries are taking part in discussions with the goal of keeping the all-important global target of 1.5 degrees Celsius alive. read more
