Shell shareholders vote to delist from Netherlands

: Fri, December 10, 2021, 3:20 PM Shareholders in oil giant Shell (RDSB.L) have overwhelmingly voted to switch its headquarters from the Netherlands to the UK, ending the company’s dual share structure, and drop “Royal Dutch” from the name.

The move, planned for early 2022, “will enable a simplification of the company’s share structure and an increase in the speed and flexibility of capital and portfolio actions”, said Shell’s chair Sir Andrew Mackenzie said.

He said the board believes “the simplification will strengthen Shell’s competitiveness and accelerate both shareholder distributions and delivery of its strategy to become a net-zero emissions energy business by 2050”. read more

AMSTERDAM (Reuters) – On the day that shareholders of Royal Dutch Shell PLC voted to move the company’s headquarters to London from The Hague, the company sent a letter to the Dutch prime minister to soften the blow.

Signed by Shell CEO Ben van Beurden, the letter said Shell’s departure had been “a difficult message for us to announce,” given the company had more than a century of history.

But the letter to Prime Minister Mark Rutte outlined the many projects and activities Shell will continue in the Netherlands, including retaining 8,500 employees, and the division-level management of Shell’s upstream (production), renewable energy and projects & technology divisions. read more

Shareholders in oil giant Shell will vote Friday on plans to switch its headquarters from the Netherlands to Britain after a century and drop Royal Dutch from the name.

Europe’s biggest energy firm says the move would simplify its tax and share arrangements, and accelerate its transition to net-zero emissions.

But its chairman also admitted the plan was driven by the Dutch government’s scrapping of plans to withdraw a tax on dividends.

The Dutch government said it was “unpleasantly surprised” by the plan, while Britain has hailed it as a vote of confidence in the British economy post-Brexit. read more

When Royal Dutch Shell’s new chairman, Andrew Mackenzie, asks shareholders on Friday for their vote to move the global oil giant’s headquarters from the Netherlands to Britain and drop the “Royal Dutch,” he will also be asking to return the company home.

In a history better suited to fairy tales than the financial pages, Shell rose from a small seashell shop in the East End of London. In the 1830s, a Jewish curio seller named Marcus Samuel began importing tropical seashells from the Far East. His shop sold “small Shells for Ladies’ work,” along with large, shining specimens such as conchs and nautiluses for still-life drawing. read more

Shareholders in Third Point Investors (TPOGu.L), a UK-listed trust that owns a stake in Loeb’s main fund, roundly rejected a move by uppity shareholder Asset Value Investors to throw a Third Point employee, Josh Targoff, off the board.
