No annual report would be complete without a section known as the Forward-Looking Statements disclaimer.
This is the part where, after several hundred pages confidently explaining strategy, performance and long-term plans, the company gently reminds readers that none of those statements should be interpreted as a guarantee that anything described will actually happen.
Shell’s Annual Report contains the usual carefully crafted legal language explaining that certain statements within the document relate to future expectations, projections and strategic ambitions.
These statements are known as forward-looking statements.
Forward-looking statements typically include phrases such as:
-
“we expect”
-
“we anticipate”
-
“we intend”
-
“we believe”
-
“we are confident that”
They may also include statements about future production levels, climate strategies, energy transition plans, technological developments and the general direction of global energy markets.
Naturally, predicting the future is difficult.
As a result, the Annual Report carefully explains that these forward-looking statements are subject to a wide range of uncertainties.
These uncertainties include:
-
geopolitical developments
-
changes in government policy
-
fluctuations in oil and gas prices
-
technological breakthroughs
-
economic conditions
-
climate change
-
regulatory developments
-
litigation
-
and the possibility that reality may behave differently from the PowerPoint presentation.
For this reason, the report emphasises that actual results may differ materially from those expressed in forward-looking statements.
In other words, while the company’s strategy has been described in considerable detail throughout the document, readers should understand that the future may unfold in ways that are not entirely consistent with the narrative presented.
This does not mean the strategy is incorrect.
It simply means that the strategy exists within a complex and unpredictable global environment, in which markets fluctuate, technologies evolve and carefully constructed forecasts occasionally collide with reality.
The purpose of the forward-looking statements disclaimer is therefore both simple and elegant.
It allows the company to describe its long-term plans with confidence while simultaneously acknowledging that those plans may turn out to be wildly optimistic, slightly premature or based on assumptions that seemed perfectly reasonable at the time.
Readers are therefore encouraged to interpret all forward-looking statements with appropriate caution.
Or, as the disclaimer might more simply put it:
Everything in this report represents management’s best understanding of the future — at least until next year’s Annual Report.
