Was Shell’s response to Cambo reasonable?

SOME THOUGHTS FROM A LONG-TERM CONTRIBUTOR TO THIS WEBSITE, A RETIRED SENIOR SHELL OFFICIAL, BILL CAMPBELL

Given that US and China dominate the world’s CO2 emissions you have to ask the question was the Shell response to Cambo reasonable?

UK with its total CO2 emissions just under 3% of the World with the oil and gas sector in the UK contributing circa 25% of UK emissions, but with transport and electricity generation accounting for just over 52%, it makes you wonder since the UK may have to import more oil in the near to medium future (increasing transport emissions) in so doing.  read more

According to preliminary polling 99.77 percent of shareholders so far had backed the move with just under 58 percent of votes cast. Final results are expected later in the day although it is thought the result is unlikely to change.

The company follows another Anglo-Dutch firm, Unilever, which also decided to move its headquarters to London from the Netherlands. Shell shareholders vote to delist from Netherlands

: Fri, December 10, 2021, 3:20 PM Shareholders in oil giant Shell (RDSB.L) have overwhelmingly voted to switch its headquarters from the Netherlands to the UK, ending the company’s dual share structure, and drop “Royal Dutch” from the name.

The move, planned for early 2022, “will enable a simplification of the company’s share structure and an increase in the speed and flexibility of capital and portfolio actions”, said Shell’s chair Sir Andrew Mackenzie said.

AMSTERDAM (Reuters) – On the day that shareholders of Royal Dutch Shell PLC voted to move the company’s headquarters to London from The Hague, the company sent a letter to the Dutch prime minister to soften the blow.

Signed by Shell CEO Ben van Beurden, the letter said Shell’s departure had been “a difficult message for us to announce,” given the company had more than a century of history.

But the letter to Prime Minister Mark Rutte outlined the many projects and activities Shell will continue in the Netherlands, including retaining 8,500 employees, and the division-level management of Shell’s upstream (production), renewable energy and projects & technology divisions. read more

KEY POINTS

  • The Anglo-Dutch company has said the simplification of its dual tax structure is designed to strengthen its competitiveness, accelerate its energy transition plans and help to make distributing profits to shareholders more straightforward.
  • A final tally of results showed 99.8% of shareholders backed the special resolution, according to Reuters.
  • Critics of the move argue Shell’s proposed relocation is partly motivated by a landmark courtroom defeat earlier this year, a decision the company is appealing.

LONDON — Shareholders of oil giant Royal Dutch Shell on Friday voted to approve plans for the company to overhaul its legal and tax structure and move its headquarters to the U.K. from the Netherlands.

The Anglo-Dutch company has said the simplification of its dual tax structure is designed to strengthen its competitiveness, accelerate its energy transition plans and help to make distributing profits to shareholders more straightforward.

A final tally of results showed 99.8% of shareholders backed the special resolution, according to Reuters. The motion had required the approval of at least 75% of the votes cast to pass.

The proposal will likely see the company drop the “Royal Dutch” from its name to become “Shell PLC.” A move to London from The Hague is expected sometime early next year.

Critics of the move argue Shell’s proposed relocation is partly motivated by a landmark courtroom defeat earlier this year, a decision the company is appealing. A Dutch court ruled in May that Shell must reduce its global carbon emissions by 45% by the end of 2030, compared with 2019 levels.

The verdict marked the first time in history that a company had been legally obliged to align its policies with the Paris Agreement and reflected a watershed moment in the climate battle. read more

Shareholders in oil giant Shell will vote Friday on plans to switch its headquarters from the Netherlands to Britain after a century and drop Royal Dutch from the name.

Europe’s biggest energy firm says the move would simplify its tax and share arrangements, and accelerate its transition to net-zero emissions.

But its chairman also admitted the plan was driven by the Dutch government’s scrapping of plans to withdraw a tax on dividends.

The Dutch government said it was “unpleasantly surprised” by the plan, while Britain has hailed it as a vote of confidence in the British economy post-Brexit. read more

Shell pulling the plug on the Cambo North Sea oilfield is a problem for us, too

Oliver Shah Sunday December 05 2021, 12.01am, The Sunday Times

You can’t be sure of much when it comes to Shell these days — and Shell, it seems, can’t be sure of anything when it comes to politics. Last month, chief executive Ben van Beurden was fêted for moving the oil major’s headquarters from Holland to London as part of a simplification of its corporate structure.

On Thursday, Shell pulled out of a major oil project in a storm of recrimination, saying the economics were “not strong enough at this time” and complaining of “potential for delays”. read more

Forget Shell. Amsterdam Stock Market’s Having a Knock-Out Year

2nd Dec 2021

(Bloomberg) — At a time when Royal Dutch Shell Plc is moving its headquarters out of the Netherlands, Amsterdam might fear losing some of the momentum that’s made it continental Europe’s pre-eminent stock trading centre.

Shell said on Nov. 15 that as part of a plan to simplify the oil giant’s structure, it will relocate its tax residence to the U.K. and move top executives from The Hague to London. The announcement came a year after Unilever Plc, the Anglo-Dutch owner of household products such as Omo and Lifebuoy soap, also opted to become a solely British company. read more

Project Fear exposed: Four major warnings Remainers got wrong – as Shell relocates to UK

BREXIT BRITAIN’S latest victory will see oil giant Shell relocate its headquarters to the UK has fuelled new Frexit calls, with a leading campaigner insisting it once again proves how Project Fear was “wrong on everything”.

By PAUL WITHERS

In a huge win for Brexit Britain, Royal Dutch Shell is scrapping its dual share structure and moving its head office to the UK from the Netherlands. The company is dropping “Royal Dutch” from its name – part of its identity since 1907 – to become Shell Plc. The firm has been at the centre of a bitter row with Dutch authorities over the country’s 15 percent dividend withholding tax on some of its shares, which makes them less attractive for investors. read more

Shell’s departure deals blow to Dutch pro-business credentials

25 Nov 2021

Stef Blok had an unenviable task for any economy minister last week: explaining how his country was about to lose one of its most high-profile multinational companies.

The decision by oil and gas group Royal Dutch Shell to end its dual corporate structure and move its tax base to the UK, after being in the Netherlands for more than a century, was a “sensitive loss” for the country, Blok told the Dutch parliament. It is particularly embarrassing for the pro-business caretaker government of Prime Minister Mark Rutte. read more
